The rules for using Supadesk.

Agreement

These Terms of Service govern access to and use of Supadesk.ai, app.supadesk.ai, and related services provided by Supadesk.ai. By accessing or using Supadesk, creating an account, joining early access, or using the service on behalf of an organization, you agree to these Terms.

If you use Supadesk for an organization, you represent that you have authority to bind that organization. In that case, “you” and “customer” refer to that organization.

The Service

Supadesk is an AI-powered digital front desk that helps businesses create AI agents, connect business knowledge, answer and qualify lead inquiries, and hand conversations to human team members when needed. Features may change as the product develops.

Early Access and Beta Features

Supadesk may provide early-access, preview, beta, or experimental features. These features may be incomplete, changed, suspended, or discontinued at any time. They are provided for evaluation and feedback and may not be suitable for production-critical workflows without human review.

Accounts and Security

• You must provide accurate account information and keep it current.
• You are responsible for account credentials, user permissions, workspace configuration, and activity under your account.
• You must notify us promptly if you suspect unauthorized access or misuse.
• We may suspend access if we reasonably believe an account creates security, legal, abuse, or service-integrity risk.

Customer Content

“Customer Content” means information, files, documents, websites, FAQs, messages, leads, and other materials submitted to or processed through Supadesk by or for a customer. You retain ownership of Customer Content. You grant Supadesk a limited license to host, process, transmit, display, and use Customer Content as needed to provide, secure, support, and improve the service.

You are responsible for Customer Content, including making sure you have the rights, notices, permissions, and lawful bases needed to upload it and process it through Supadesk.

AI Features and Human Review

Supadesk uses AI to generate responses, search business knowledge, summarize conversations, qualify inquiries, and support handoff workflows. AI output may be inaccurate, incomplete, delayed, or inappropriate for a particular situation. You are responsible for configuring agents, monitoring important conversations, and using human review where appropriate.

Supadesk does not provide legal, medical, financial, employment, or other regulated professional advice. Do not rely on AI output as a substitute for professional judgment.

Acceptable Use

You must not use Supadesk to:

• Break laws, violate rights, or process data without required permission.
• Send spam, phishing, deceptive, abusive, harassing, hateful, or unlawful content.
• Upload malware, attempt unauthorized access, probe systems, bypass security, or disrupt the service.
• Collect sensitive personal information unless you have a lawful basis and appropriate safeguards.
• Use Supadesk for high-risk decisions without meaningful human review.
• Reverse engineer, scrape, resell, or misuse the service except as permitted by law or written agreement.

Third-Party Services

Supadesk may interoperate with third-party services, channels, AI providers, hosting providers, analytics tools, email systems, and integrations. Third-party services may have their own terms and privacy practices. We are not responsible for third-party services that are not controlled by Supadesk.

Fees and Payment

Paid features, subscriptions, or usage-based pricing may be introduced or set out in an order form, checkout page, invoice, or written agreement. Unless stated otherwise, fees are non-refundable except where required by law or expressly agreed in writing.

Intellectual Property

Supadesk and its software, designs, workflows, documentation, branding, and other materials are owned by Supadesk or its licensors. These Terms do not transfer ownership of Supadesk intellectual property. You may use Supadesk only as permitted by these Terms and any applicable written agreement.

If you provide feedback, suggestions, or ideas, you grant Supadesk the right to use them without restriction or compensation.

Confidentiality

During early access or product use, either party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and will use it only for purposes related to Supadesk, unless disclosure is required by law.

Privacy

Our Privacy Policy explains how we collect and use personal information. By using Supadesk, you acknowledge the Privacy Policy.

Suspension and Termination

You may stop using Supadesk at any time. We may suspend or terminate access if you violate these Terms, create risk for the service or others, fail to pay applicable fees, or use the service unlawfully. After termination, access to the service may stop, but provisions that by their nature should survive will survive.

Disclaimers

Supadesk is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted operation. We do not guarantee that AI output will be accurate or that every lead inquiry will be answered, qualified, or converted.

Limitation of Liability

To the maximum extent permitted by law, Supadesk will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, goodwill, or business interruption. Supadesk’s total liability for claims relating to the service will not exceed the greater of the amount paid to Supadesk for the service in the three months before the event giving rise to the claim or USD $100.

Indemnity

You will defend and indemnify Supadesk from claims, damages, liabilities, costs, and expenses arising from Customer Content, your use of Supadesk, your violation of these Terms, or your violation of laws or third-party rights.

Governing Law

If an order form or written agreement specifies governing law and venue, that agreement controls. Otherwise, these Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, and disputes will be brought in courts located in Delaware unless applicable law requires otherwise.

Changes to These Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify users. Continued use of Supadesk after changes become effective means you accept the updated Terms.
